These terms and conditions (“Agreement”) constitute a legally binding contract between The Course Builder (referred to as “Developer,” “we,” “us,” or “our”) and you (referred to as “Client,” “you,” or “your”) regarding the development of a website and provision of online courses.
By engaging our services, you agree to be bound by these terms and conditions.
Scope of Work
1.1. The Developer agrees to design, develop, and deliver a professional website for the Client, along with an integrated online course platform (“Platform”) if applicable.
1.2. The Client shall provide all necessary content, images, and materials required for the website and online courses. The Developer will not be responsible for creating course content unless explicitly agreed upon in a separate agreement.
2.1. The Client shall make full payment to the Developer upon signing this Agreement and before the commencement of any work.
2.2. In the event that additional features or functionalities are requested by the Client beyond the original scope, the Developer will provide a written quote for the extra work and require immediate payment for such additional services.
3.1. The Developer will provide an estimated project timeline, subject to change based on unforeseen circumstances or delays outside the Developer’s control.
3.2. The Client agrees to provide timely feedback, content, and approvals to avoid unnecessary delays.
4.1. The Client retains all rights, title, and interest to the content provided to the Developer for use on the website and Platform.
4.2. The Developer grants the Client a non-exclusive, royalty-free, and worldwide license to use any custom-developed code and designs solely for the purpose of operating the website and Platform.Website and Platform Functionality
5.1. The Developer will make reasonable efforts to ensure that the website and Platform function as intended. However, the Client understands that technical issues may arise, and the Developer will promptly address and resolve any bugs or errors reported.
5.2. The Client is responsible for all the content uploaded to the Platform and ensuring it complies with applicable laws, including copyright and intellectual property regulations.
Maintenance and Support
6.1. The Developer may offer maintenance and support services beyond the project’s completion date under a separate agreement or support package.
6.2. The Client may request updates or changes to the website and Platform after completion, subject to additional charges.
7.1. Both parties shall maintain strict confidentiality regarding all proprietary information and materials disclosed during the course of the project.
8.1. Either party may terminate this Agreement with written notice if the other party breaches any of its obligations under this contract.
8.2. Upon termination, the Client shall pay for the completed work and any additional costs incurred up to the termination date.
Limitation of Liability
9.1. The Developer shall not be liable for any indirect, consequential, or incidental damages arising out of the use or inability to use the website and Platform.
Governing Law and Jurisdiction
10.1. This Agreement shall be governed by and construed in accordance with the laws of England and Wales.
10.2. Any dispute arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
By engaging our services, you acknowledge that you have read and understood these terms and conditions, and you agree to abide by them throughout the development of the website and Platform.
